Contract for $500 Monthly Retainer and Revenue Share Agreement
This contract (the "Agreement") is made and entered into on 11/13/2023 (the "Effective Date"), by and between RevengeMD, a Nevada corporation, with its principal place of business at 2406 W. Horizon Ridge Pkwy, Suite 100 Henderson Nevada, 89052 (the "Company"), and Brenkor, LLC with an address at 3865 Van Ness Ave, North Las Vegas, Nevada 89081 (the "Contractor").
WHEREAS, the Company intends to engage the Contractor for the provision of marketing and promotional services, and the Contractor possesses the necessary skills and expertise;
WHEREAS, the parties desire to establish the terms and conditions governing the engagement of the Contractor;
NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:
Scope of Services
The Contractor shall provide marketing and promotional services to the Company for a period of 6 months starting from the Effective Date (the "Initial Term"), with an option to renew for an additional 6 months (the "Renewal Term"), subject to the terms and conditions set forth herein.
Compensation:
The Company shall provide the Contractor with a monthly retainer fee of $500 payable within 3 days of the end of each calendar month during the Term, with the initial retainer fee of $500, required to initiate the contract.
In addition to the retainer fee, the Contractor shall be entitled to 20% of the net revenue generated from marketing and promotional campaigns associated with the Company during the Term, and agreed upon by both parties. Net revenue shall be calculated as total revenue minus any applicable taxes, refunds, or discounts.
Monthly Company Benefits:
In consideration of the retainer fee and revenue share, the Contractor shall provide the Company with the following monthly benefits:
One (1) additional promotional video, up to 90 seconds in length, which shall be created, edited, and provided by the Contractor. The content and subject matter of the video shall be agreed upon by both parties.
One (1) additional sales/promotion or marketing funnel per month, which shall be designed, developed, and implemented by the Contractor. The specifics of the sales funnel, including target audience, goals, and strategies, shall be determined in collaboration with the Company.
Ownership and Intellectual Property
All intellectual property rights, including copyrights, trademarks, and patents, associated with the marketing materials, promotional videos, and sales funnels created by the Contractor under this Agreement shall belong solely to the Company.
Confidentiality
The Contractor agrees to maintain the confidentiality of any proprietary or confidential information disclosed by the Company during the Term and thereafter, and shall not disclose such information to any third party without the prior written consent of the Company.
Termination
Either party may terminate this Agreement upon written notice to the other party if a material breach of this Agreement occurs and is not cured within 60 days of receiving written notice of such breach.
In the event of termination, the Contractor shall be entitled to receive compensation for services rendered up until the termination date, including any applicable revenue share.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the state of Nevada. Any disputes arising under or in connection with this Agreement shall be resolved exclusively by the courts of Clark County, Nevada.
Entire Agreement
This Agreement constitutes the entire understanding between the parties regarding the subject matter hereof and supersedes all prior negotiations, discussions, or agreements, whether oral or written.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the Effective Date.
